Terms of Service

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "your") and Livo Labs ("Livo," "we," "our," or "us"). These Terms govern your access to and use of the Livo platform, including the website, smart contracts, applications, tools, interfaces, and services (collectively, the "Platform" or "Services").

By accessing or using Livo, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Platform.

Important Risk Warning

Livo enables interaction with user-generated digital assets, including experimental tokens, memecoins, and community-launched assets. Digital assets are highly volatile and may lose all value. You acknowledge that you may lose some or all funds, tokens launched on Livo may have no utility or roadmap, smart contracts may contain vulnerabilities, and markets may be manipulated by third parties. Livo is not a broker, dealer, advisor, fiduciary, or intermediary. Nothing on the Platform constitutes investment, legal, or financial advice. You alone are responsible for your decisions.

1. Eligibility

To use Livo, you must be 18 years of age or older, have legal capacity to enter into these Terms, not be located in or a citizen or resident of any jurisdiction where use of Livo is prohibited, and not be subject to sanctions or restrictions under applicable laws. We may update eligibility requirements at any time and may restrict access at our discretion.

2. Nature of the Platform

Livo is a permissionless Ethereum-based launch platform that allows users to create tokens, interact with bonding curves or liquidity mechanisms, trade user-generated tokens, and access analytics, charts, and AI-assisted tools. All tokens and projects are created by users, not Livo. We do not endorse, verify, audit, or guarantee any project, token, or user.

3. No Custody

Livo does not custody funds or private keys. You interact using your own wallet. You are solely responsible for wallet security, private key management, and transaction approvals. Transactions are executed by smart contracts and are generally irreversible.

4. Fees

Livo may charge platform fees related to token creation, trading activity, and bonding or fundraising mechanisms. All applicable fees will be displayed before execution. You authorize Livo smart contracts to deduct fees automatically. Third-party fees (gas, wallets, RPCs) are your responsibility.

5. User Conduct

You agree not to engage in fraud, scams, or deception; manipulate markets including wash trading, spoofing, or coordinated pumps; post false or misleading information; violate applicable laws or regulations; abuse, harass, or threaten others; or attempt to exploit, reverse engineer, or disrupt the Platform. We may restrict or terminate access at any time for violations.

6. User-Generated Content & Tokens

You are solely responsible for any tokens you create, metadata, descriptions, or links you provide, and any claims or representations you make. You represent that your content does not infringe third-party rights and complies with applicable laws. Livo is not responsible for user-generated tokens or content.

7. No Investment Advice

Nothing on Livo constitutes investment advice, financial recommendations, or endorsements of any token or project. You should conduct your own research and consult professionals if needed.

8. Platform Availability

Livo is provided "as is" and "as available." We do not guarantee continuous availability, error-free operation, transaction execution times, or market liquidity or pricing. Platform functionality may change at any time.

9. Suspension & Termination

We may suspend or terminate access immediately if required by law, we suspect fraudulent or abusive behavior, you breach these Terms, or platform integrity or users are at risk. We are not required to provide notice.

10. Intellectual Property

All Livo branding, software, interfaces, and code are owned by Livo Labs. You are granted a limited, non-exclusive, non-transferable license to use the Platform for personal, non-commercial use. You may not copy, modify, or exploit Livo IP without permission.

11. Privacy

Your use of the Platform is subject to the Livo Privacy Policy, which forms part of these Terms. Blockchain data is public and immutable.

12. Disclaimers

To the maximum extent permitted by law, Livo disclaims all warranties, express or implied. We are not liable for losses arising from smart contract execution. We are not responsible for third-party actions, tokens, or content.

13. Limitation of Liability

Livo shall not be liable for loss of funds, lost profits, market volatility, user-generated tokens, smart contract failures, or third-party services or wallets. Our total liability shall not exceed fees paid to Livo for the transaction giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless Livo Labs from any claims arising from your use of the Platform, tokens you create or promote, violations of these Terms, and violations of law or third-party rights.

15. Arbitration & Class Action Waiver

You agree that disputes shall be resolved via binding arbitration, you waive the right to participate in class actions, and claims must be brought individually. Arbitration location and rules will be specified by Livo.

16. Governing Law

These Terms are governed by the laws of the applicable jurisdiction, without regard to conflict-of-law principles.

17. Changes to Terms

We may update these Terms at any time. Continued use of Livo constitutes acceptance of updated Terms.
